Any work that we do for you is governed by the terms and conditions that you’re reading now. You (“Client”) agree to retain Wadman Consulting Ltd, trading as Automation Sprints (“Service Provider”) to deliver automation services during a 1 to 3 day sprint and agree to the terms and conditions as set forth in this Agreement.
1. Scope of engagement
The Service is a short-term engagement (typically 1 to 3 business days) focused on identifying, designing, and implementing automation solutions within your business. A list of goals or tasks, in priority order, will be defined and agreed upon prior to the sprint start date, usually during the pre-sprint planning call and follow up emails.
During this sprint, the Service Provider agrees to devote up to 7.5 hours per day for a 1 to 3 day sprint, on automation priorities identified in collaboration with the Client. The engagement also includes:
- 30 min to 1 hour for a pre-sprint planning call
- 1 hour for post-intensive “fix” support
- 14 days of post-intensive email support
Work will normally occur between the hours of 9 AM – 5 PM GMT on weekdays, which can be adjusted if the Client is in a different timezone.
Important: The Client is booking the Service Provider’s time, not a guaranteed list of deliverables. While we will make every effort to complete the agreed-upon tasks during the sprint, if more time is needed, or if additional work is requested, this can be addressed by booking an additional full or half day.
2. Post-Sprint Support
During the 14 days of post-intensive support, the Client will be able to email or message Service Provider with any questions or concerns about the work that was performed during the intensive, and will receive a reply via email, message or video tutorials.
This support does not include new implementation or changes outside the scope of the original sprint. If the Client has additional work that needs to be performed, Client will have the option to book another day or a half-day.
3. Client Responsibilities
You agree to:
- Provide timely access to necessary tools, systems, and team members.
- Respond promptly to questions and feedback requests during the sprint.
- Review deliverables promptly to keep the sprint moving.
We are not responsible for delays or incomplete work caused by missing information or inaccessibility to required systems or people.
4. Fees and Payment Terms
The sprint is priced at $1,100 per sprint day. A 50% deposit is due upon booking to secure your sprint date. The remaining balance is due within 48 hours of the final day of the sprint.
Additional development or automation work outside the scope of the booked sprint will be billed separately at the Service Provider’s current daily, half-day, or hourly rates. Any costs incurred beyond standard overhead (e.g., paid software tools or APIs) will also be billed separately.
5. Intellectual Property
All original work created during the sprint, including automation workflows, documentation, and creative outputs, becomes the property of the Client upon full payment. The Client is free to use the material as they see fit.
6. Confidentiality
We agree to keep any proprietary business information shared with us during the sprint confidential. Likewise, you agree not to share any proprietary tools, methods, or code we provide without our written consent.
This obligation excludes:
- Information already known by the recipient
- Information that becomes publicly known through no fault of the recipient
- Information required to be disclosed by law or regulation
7. Liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, or consequential damages, loss of business, or data arising from the use of automations or systems created during the sprint.
8. Rescheduling, Transfers & Refunds
This purchase is non-refundable, but may be rescheduled or transferred with a minimum of 7 days’ written notice. The deposit is valid for 90 days from the date of booking.
If the sprint does not take place within 90 days and no new date is requested at least 7 days in advance, the deposit will be forfeited and the sprint cancelled.
At the Service Provider’s discretion, the original deposit may be applied to a future booking at the then-current rate, which may be higher than the original rate.
9. Governing Law
These terms are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction over any disputes arising from this Agreement.
